Terms of Service

Please read these Terms of Service ("Terms") carefully before posting a project on the Helperr platform. By posting a project, you agree to be legally bound by these Terms.

1.Who We Are

Helperr is a technology platform operated by Nature Design Clothing LLC d/b/a Helperr ("Helperr," "we," "us," "our"), a Texas limited liability company. Helperr connects homeowners with independent service providers ("Pros") through our website and mobile application ("Platform").

Helperr is not a contractor. We do not perform, supervise, direct, employ, or guarantee any services. We do not hold any contractor's license. The Pros who bid on and perform your project are independent contractors, not employees or agents of Helperr. The presence of the Helperr name or brand in connection with any job does not imply that Helperr performed, supervised, or guarantees the work.

2.Your Agreement with the Pro

When you book a Pro through the Helperr platform, you enter into a direct service agreement with that Pro. Helperr is not a party to that agreement. Your contractual relationship for the actual services is with the Pro, not with Helperr.

All disputes regarding the quality, completion, scope, or outcome of any services are between you and the Pro. Helperr is not responsible for resolving disputes about workmanship, materials, timelines, or any other aspect of service delivery.

3.Helperr's Role — Payment Processing Only

Helperr operates as a payment processing platform. When you pay through the Helperr app, your payment is received and held by Helperr and disbursed to the Pro according to the payment terms agreed to at booking.

Helperr's role in processing your payment does not make Helperr responsible for the services you receive. Helperr is not a guarantor, insurer, or co-obligor of any Pro's performance.

4.Payments, Deposits, and Refunds

4.1 Payment Terms.

Payment terms are set by the Pro at the time of bidding and agreed to by you at booking. Terms may include full payment at completion or a deposit at booking with the remainder at completion.

4.2 Deposit Disbursement.

If you agree to pay a deposit at booking, that deposit is disbursed to the Pro within 24 hours of Helperr receiving your cleared payment. Once a deposit has been disbursed to the Pro, Helperr no longer holds those funds. Helperr cannot reverse, recall, or refund a deposit that has already been disbursed.

4.3 Deposit Refunds.

If you are entitled to a refund of a deposit for any reason — including Pro abandonment, non-performance, or cancellation — you must seek that refund directly from the Pro. Helperr will provide you with the Pro's contact information to facilitate this. Helperr has no obligation to refund deposit amounts already disbursed and accepts no liability for a Pro's failure to refund.

4.4 Final Payment Hold.

Final payments that have not yet been disbursed to the Pro may be held by Helperr if you file a valid dispute before disbursement occurs. Helperr will notify you of the disbursement timeline for your specific job. If you have a dispute you must file it through the Helperr platform before final disbursement occurs.

4.5 Dispute Filing Window.

To request a hold on an undisbursed final payment, you must file a dispute through the Helperr platform within 48 hours of the scheduled job completion date. Disputes filed after disbursement has occurred cannot result in a reversal by Helperr.

4.6 Helperr's Maximum Liability for Payments.

In no event shall Helperr's liability to you for any payment-related claim exceed the amount of undisbursed funds Helperr actually holds at the time the dispute is filed. Helperr shall have zero liability for any funds already disbursed to the Pro.

4.7 No Guarantee of Refund.

Helperr does not guarantee that you will receive a refund from any Pro. Your ability to recover funds from a Pro depends on that Pro's willingness and ability to pay. Helperr is not responsible for a Pro's insolvency, unavailability, or refusal to refund.

5.Disputes

5.1 Platform First.

All disputes must first be submitted through the Helperr platform using the dispute function in your project dashboard. Helperr will acknowledge your dispute within 48 hours.

5.2 Helperr's Role in Disputes.

Helperr may, at its sole discretion, facilitate communication between you and the Pro, provide contact information for the Pro, hold undisbursed funds pending resolution, flag or deactivate a Pro's account, or assist in documentation. Helperr is not obligated to take any of these actions and its assistance does not create any liability or obligation to resolve the dispute in your favor.

5.3 Direct Resolution.

Disputes about workmanship, materials, scope of work, or service quality are between you and the Pro. Helperr encourages you to communicate directly with the Pro to resolve these disputes. If direct resolution fails, your recourse is against the Pro through applicable legal channels.

5.4 Helperr Not Liable for Outcome.

Helperr's involvement in any dispute does not make Helperr liable for the outcome. Helperr's maximum liability in connection with any dispute is limited to the amount of undisbursed funds Helperr holds at the time the dispute is filed.

6.No Warranty of Pro Performance

Helperr does not warrant, guarantee, or represent that any Pro is licensed, insured, qualified, experienced, or capable of performing the services you need. While Helperr may display information provided by Pros including reviews, ratings, and credentials, Helperr does not independently verify all such information and is not responsible for its accuracy.

You are responsible for reviewing a Pro's profile, reviews, and credentials before booking. Helperr's display of a Pro's profile does not constitute an endorsement or guarantee of that Pro's services.

7.Your Responsibilities

By posting a project on Helperr you represent and warrant that:

• You are the property owner or have authority to authorize the work described
• The information you provide about your project is accurate and complete
• You are at least 18 years of age
• You will not attempt to circumvent the platform by arranging payment directly with a Pro for any job sourced through Helperr
• You will communicate through the Helperr platform and not solicit Pros to work outside the platform

8.Your Contact Information

Your contact information is collected for the purpose of facilitating your project on the Helperr platform. We do not sell your contact information to third parties. Your phone number and email are only shared with a Pro after you have booked that Pro for your project. Before booking, Pros communicate with you exclusively through the Helperr platform.

9.Photo and Content License

By uploading photos or other content to the Helperr platform, you grant Nature Design Clothing LLC d/b/a Helperr a non-exclusive, royalty-free, perpetual license to use, display, and reproduce that content in connection with operating and promoting the Helperr platform. You represent that you have the right to grant this license and that your content does not infringe any third party's rights.

10.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELPERR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY SERVICES OBTAINED THROUGH THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PROPERTY DAMAGE, PERSONAL INJURY, LOSS OF PROFITS, OR LOSS OF DATA, EVEN IF HELPERR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HELPERR'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT OF UNDISBURSED FUNDS HELPERR HOLDS IN CONNECTION WITH YOUR SPECIFIC PROJECT AT THE TIME THE CLAIM ARISES.

11.Indemnification

You agree to indemnify, defend, and hold harmless Nature Design Clothing LLC d/b/a Helperr, its members, managers, officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) any dispute between you and a Pro; or (d) any inaccuracy in the information you provide.

12.Dispute Resolution

Any dispute between you and Helperr arising out of or related to these Terms or the Platform shall be resolved by binding arbitration in San Antonio, Texas (Bexar County) under the Commercial Arbitration Rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action. The prevailing party is entitled to recover reasonable attorneys' fees.

13.Governing Law

These Terms are governed by the laws of the State of Texas without regard to conflict of law principles.

14.Changes to These Terms

Helperr may update these Terms at any time. We will post the updated Terms on the Platform with a new effective date. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
